Finnect Capital DSA Partnership Agreement: Summary
1. Role of the DSA Partner
The DSA Partner (hereafter "Partner") agrees to source and refer loan applications to Finnect Capital Private Limited (hereafter "Finnect Capital") on a non-exclusive basis. The Partner shall not act as a lender, credit officer, or authorised representative of any bank or NBFC.
2. Compliance Obligations
The Partner shall comply with all applicable laws, RBI guidelines and regulations governing Direct Selling Agents. The Partner shall not misrepresent loan products, rates, or Finnect Capital's credentials to customers. The Partner shall maintain confidentiality of all customer data obtained in the course of this partnership.
3. Payout Structure
Payouts are calculated as a percentage of the net disbursed loan amount as communicated separately in the Partner Schedule. Payouts are released within 15 working days of confirmed disbursement. Finnect Capital reserves the right to revise the payout schedule with 30 days' prior notice.
4. Document Responsibility
The Partner is responsible for the accuracy of documents submitted on behalf of customers. Any fraudulent submission shall result in immediate termination and appropriate legal action. Finnect Capital shall not be liable for inaccuracies arising from the Partner's representations.
5. Intellectual Property
The Partner may use Finnect Capital's name and logo for customer-facing materials only after prior written approval. Unauthorised use of Finnect Capital branding is prohibited.
6. Code of Conduct
The Partner agrees to (a) not approach customers of other Finnect Capital partners directly, (b) not solicit fees from customers beyond what is disclosed in the loan sanction letter, and (c) maintain professional standards in all communications with customers and lenders.
7. Termination
Either party may terminate this agreement with 30 days' written notice. In cases of breach, Finnect Capital may terminate immediately without notice. Pending payouts will be settled within 45 days of termination, subject to deduction of any amounts owed.
8. Governing Law
This agreement is governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts in Nagpur, Maharashtra.
9. Data Protection
Both parties agree to handle personal data in accordance with applicable Indian data protection laws. Customer data shall not be shared with third parties outside of loan processing without customer consent.
10. Entire Agreement
This document, together with the Partner Schedule, constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements.
